Acceptance of Terms

These Terms and Conditions (“Terms”) govern the use of services provided by Dnipro LLC (“Company”). By requesting, booking, or using our services, the customer agrees to be bound by these Terms.

Services

Dnipro LLC provides freight forwarding, logistics coordination, transportation arrangement, shipment management, and related services.

Unless expressly agreed in writing, Dnipro LLC acts as a freight forwarder and intermediary and may engage third-party carriers, brokers, agents, warehouses, and service providers.

Customer Responsibilities

The customer agrees to:

• Provide complete and accurate shipment information
• Properly package and label cargo
• Comply with all applicable laws and regulations
• Obtain necessary permits, licenses, and approvals
• Ensure cargo is lawful for transportation

The customer remains responsible for inaccuracies, omissions, or misrepresentations regarding shipments.

Prohibited Cargo

The Company may refuse transportation of:

• Illegal goods
• Hazardous materials not properly declared
• Counterfeit products
• Contraband
• Perishable goods without prior approval
• Any cargo prohibited by law

Rates and Payment

Pricing

Rates are based on information provided by the customer and may be adjusted if shipment dimensions or weight differ from declared values, additional services become necessary, or regulatory or carrier charges change.

Payment Terms

Invoices are due within the period stated on the invoice. Late payments may result in interest charges permitted by law, collection costs, and suspension of services.

Shipment Delays

Estimated pickup and delivery dates are not guaranteed unless specifically agreed in writing. Dnipro LLC shall not be liable for delays caused by:

• Weather or traffic conditions
• Customs inspections
• Carrier issues
• Government actions
• Labor disputes
• Force majeure events

Limitation of Liability

The Company’s liability for loss, damage, delay, or misdelivery shall not exceed the actual amount paid by the customer for the specific shipment, or the applicable carrier’s liability limits — whichever is lower — unless a higher value is declared and accepted in writing prior to shipment.

Cargo Claims

Any claim for loss or damage must:

• Be submitted in writing
• Include supporting documentation
• Be filed within 30 days after delivery or expected delivery

Failure to submit a timely claim may result in denial of the claim.

Insurance

Cargo insurance is not automatically included unless specifically purchased and confirmed in writing. Customers are encouraged to obtain adequate cargo insurance coverage.

Indemnification

Customer agrees to indemnify and hold harmless Dnipro LLC, its owners, officers, employees, contractors, and agents from any claims, liabilities, losses, damages, costs, and expenses arising from:

• Customer’s breach of these Terms
• Violation of law
• Inaccurate shipment information
• Improper packaging
• Dangerous or prohibited cargo

Force Majeure

The Company shall not be liable for failure or delay in performance resulting from events beyond its reasonable control, including natural disasters, war, terrorism, pandemics, government actions, labor disruptions, transportation interruptions, or utility and communication failures.

Intellectual Property

All content on the Company’s website — including logos, trademarks, text, graphics, and materials — remains the property of Dnipro LLC unless otherwise indicated.

Confidentiality

Both parties agree to maintain the confidentiality of non-public business information obtained during the course of the business relationship, except where disclosure is required by law.

SMS Communications

By providing a mobile telephone number to Dnipro LLC, Customer agrees that Dnipro LLC may send transactional and operational text messages related to:

• Freight shipments and pickup/delivery scheduling
• Shipment status updates
• Billing and payment notifications
• Customer service and account administration

Customer represents that the mobile number provided belongs to the Customer or that the Customer has authority to consent to communications at that number. Message frequency may vary. Standard message and data rates may apply.

Dnipro LLC is not responsible for delayed or undelivered messages caused by wireless carriers, network failures, or circumstances beyond its reasonable control.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the applicable state, without regard to conflict of law principles.

Dispute Resolution

Any dispute arising from these Terms or the Company’s services shall first be addressed through good-faith negotiations. If unresolved, disputes shall be submitted to the appropriate state or federal courts, and the parties consent to such jurisdiction.

Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Entire Agreement

These Terms constitute the entire agreement between the parties regarding the services provided by Dnipro LLC and supersede all prior agreements and understandings.
